YooDos Terms of Use
Welcome to YooDos, Your Online Distributed Operating System!
Before you register for an account, you must read and agree to the YooDos Terms of Use Agreement which describes the terms, conditions, and policies of your YooDos account.
Subject to the terms and conditions of this Agreement, YooDos makes certain Services available to User. For the purposes of this Agreement: (a) “User” (or “you”) means the individual that is using or registering to use the Services, (b) YooDos “Services” means all electronic or interactive services offered by YooDos. YooDos reserves the right to modify or discontinue any Services at any time without advance notice.
Although we may attempt to notify you via email when major changes are made, it is your responsibility to periodically to review the YooDos Terms of Use Agreement. YooDos may, in its sole discretion, modify or revise these terms and conditions and policies at any time, and you agree to be bound by such modifications or revisions. If you do not accept and abide by this Agreement, you may not use any YooDos Services at all.
As a condition of using the Service, you agree to the terms of the YooDos Privacy Policy.
Description of Services
YooDos provides Users with a wide array of online services and applications. All Services provided by YooDos are provided on an “AS IS” and “AS AVAILABLE” basis.
Those of the services that are provided free are provided without warranty and YooDos reserves the right to withdraw the free service at anytime and without prior notice. Free services means such services as YooDos may from time to time offer to users free of charge. Currently and until further notice, this includes use of all YooDos services and applications with not more than 512MB of data storage.
YooDos reserves the right to suspend, modify, or discontinue all or any portion of its Services without notice at any time, and without liability to you, the User. YooDos reserves the right to amend or modify its rate structure for the provision of YooDos Services at any time, and will provide reasonable notice of its intent to perform any changes.
Customer Eligibility
You, the User, declare to YooDos that you are at least sixteen (16) years of age, or of superior age to enter into a legally binding agreement, as required by your local jurisdiction. YooDos service is not intended to be used by people under the age of 16.
You, the User, understand that the YooDos Service is provided solely for your personal use and you affirm that you do not work for a firm in direct competition with YooDos.
Intellectual Copy Rights
As a User of YooDos Services, you also agree not to transfer, resell, or allow access to YooDos Services for any commercial purposes.
You also agree not to copy, alter, sell, or attempt to obstruct any part or portion YooDos operating systems, source code, or intellectual property without the expressed written consent of YooDos.
You acknowledge that all materials (except those which are uploaded by you) provided by YooDos on its websites, including but not limited to information, documents, products, logos, graphics, sounds, software, and services, are provided either by YooDos or by their respective third party authors, developers and vendors (collectively “Third Party Providers”) and the underlying intellectual property rights are owned by YooDos and/or its Third Party Providers. YooDos, the YooDos logo and other YooDos products referenced herein are trademarks of YooDos, and may be registered in certain jurisdictions. All other product names, company names, marks, logos, and symbols may be the trademarks of their respective owners.\
YooDos reserves the right to suspend or terminate a User’s transmission(s) that, in the sole opinion of YooDos, violates these policies or violates any law or regulation.
You, the User, agree to not use YooDos for any unlawful or harmful activities, including, but not limited to:
- The piracy of software, music, and or other copyrighted works;
- The transmission of pornographic material; and
- All other activities that are illegal in the jurisdiction where you access YooDos Services.
Member Account, Password and Security
You, the User, agree to indemnify YooDos from any liability arising from loss of data, system downtime, security, reliability, or other technical issues that prevent the User from accessing any features or data stored on YooDos systems.
You, the User, are solely responsible for maintaining the confidentiality of your Service password and account, and are responsible for all activities that occur under your account. You, the User, agree not to access other User accounts and not to permit others to use your account. YooDos reserves the right to refuse service to anyone at any time without notice for any reason.
You, the User, will immediately notify YooDos if you notice any activity indicating that your account or data is being used without authorization, including: (a) User has received confirmation of an order or orders placed using User’s account which User did not place or any similar conflicting report; or (b) User becomes aware of any unauthorized use of any product or service related to his/her/its account(s).
You acknowledge that YooDos exercises no control over any content you or others submit while using services. YooDos has no obligation to verify the identity of any Users when they are connected to the site or to supervise the content which has been provided by Users.
You, the User, bear full responsibility for archiving your data and sole liability for any lost or irrecoverable data. YooDos encourages you to archive its data regularly and frequently. YooDos will not be held liable for damages to any person, business or property should there be a failure of the service. If you do have any concerns about critically important data YooDos recommend that you periodically take a copy of the data you have stored on YooDos back to your own PC.
Account Inactivity
After a period of inactivity, whereby a User fails to login to an account for an extended period of time which YooDos in its sole discretion considers excessive, YooDos reserves the right to disable or terminate the account. If your account has been deactivated for inactivity, the username associated with that account may be given to another user without notice to you or any other party.
Should an account be terminated YooDos does not guarantee to retain User’s data. It is User’s responsibility to guarantee they have a copy of their data before they cancel the service or fail to use it for any extended period of time.
Termination, Cancellation
Without limiting other remedies, YooDos may immediately issue a warning, suspend (i.e., lock out access and operation of Services for User) either temporarily or indefinitely, or terminate User’s account and refuse to provide Services to User if: (a) YooDos believes that User has violated or acted inconsistently with this Agreement, or any of its policies; or (b) YooDos is unable to verify or authenticate any information User provides to YooDos; or (d) YooDos believes in its sole discretion that User’s actions may cause legal liability for User, YooDos’s other clients, or YooDos.
YooDos may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of these terms and conditions may be effected without prior notice, and acknowledge and agree that YooDos may immediately deactivate, archive or delete your account and all related information and data and/or any further access to such data or the Service. Further, you agree that YooDos shall not be liable to you or any third-party for any loss of any kind resulting from any termination of your access to the Service.
Upon termination of an account, you, the User, agree to hold YooDos harmless from liability for the ongoing storage of data that may have existed in your User account. You, the User, also agree to hold YooDos harmless from liability for the preservation of residual data from your account that may be archived on the YooDos servers for an unspecified period of time to provide compliance and data security for other YooDos Users.
Upon termination of this Agreement by either User or YooDos, all User rights under this Agreement will terminate immediately.
Limitations of Responsibility and Indemnification
You agree to defend, indemnify, and hold harmless YooDos, its affiliates, officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal fees, alleging or resulting from your use of the Service, or your breach of this Agreement or of other YooDos policies, terms and conditions.
Choice of Law, Jurisdiction
This Agreement will be governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any claims, legal proceeding or litigation arising in connection with the Service will be brought solely in New South Wales, Australia, and you consent to the exclusive jurisdiction of such courts.
